Duties and Responsibilities:– Draft corporate legal documents (i.e.: routine and complex incorporations, amendments, continuances, amalgamations, dissolutions, changes in corporate structure and transactions governed by the Business corporations Act (Ontario));– Prepare government filings, online filings and searches on various corporate and government websites;– Conduct due diligence reviews and rectify any deficiencies;– Prepare corporate structure charts;– Prepare documentation related to mergers, acquisitions, financings, share/asset purchase and sale transactions and tax reorganizations;– Maintain and update minute books and files;– Provide support for trademark applications and prosecution;– Process corporate documents utilizing Dye & Durham Ontario filings and Corporations Canada for all Federal filings;– Coordinate multi-jurisdictional transactions with lawyers and clerks in other offices;– Perform general and annual corporate maintenance.– Prepare and file extra-provincial and territorial registrations, amendments and annual returns on behalf of corporations, partnerships and limited partnerships as required by the various provinces and territories;– Other duties as assignedRequirements:
- Minimum of 3 years’ experience relevant. Completion of the Institute of Law Clerks of Ontario Certification.
- Membership in good standing with the Institute of Law Clerks of Ontario.
- In-depth knowledge and understanding of the corporate statutes.
- Detail oriented, hardworking and self-motivated.
- Ability to work independently with minimal supervision and possess a team player attitude.
- Professional demeanor and ability to interact and effectively communicate with individuals at all levels.
- Flexibility to work outside regular business hours when required and/or necessary.
- Essential skills include superior administrative, organizational and time management skills, computer skills, excellent oral and written communication, team player and willingness to be flexible to daily demands and willingness to accept additional responsibilities are required.
- Knowledge of Appara.
