ACCOUNTABILITY OBJECTIVEThis role will be responsible for investor relations, corporate secretary activities including the following: drafting and circulating investor relations communications including meeting agendas, quarterly reports; preparing documents and presentations for management matters such as the business plan, memos to the various committees and boards; handling confidential information; coordinating investor, board, committee meetings (including preparing the agendas, coordinating the production of meeting materials, distributing meeting materials); attending committee and board meetings and recording minutes for the corporate office, the development office and all Homes; supporting the General Counsel; attending to maintenance of corporate record keeping; communicating information concerning investments to investors including annual tax filings; receiving and responding to investor questions. This role will also be responsible for the administration of distributions, and administration of finance and regulatory information. This role requires a high degree of collaboration and communication with investors, the development team, the finance team, and Board members.If qualified, attend to corporate legal record keeping for Ontario entities including annual resolutions and annual returns, and support General Counsel with legal matters.BACKGROUND / QUALIFICATIONSMandatory:

  • University degree and 1+ year financial support experience, administrative experience, or investor relations experience; or equivalent combination of education and experience.
  • Advanced skills in MS Office products including Excel, Word, PowerPoint and Outlook; proficiency with Internet applications.
  • Financial acumen with working knowledge of financial statements and analytical methods.
  • Highly developed attention to detail.
  • Strong analytical and quantitative skills.
  • Excellent customer service skills with the ability to connect easily with others in person and by phone.
  • Excellent written communication skills including proper grammar and professional writing.
  • Exceptional organizational skills, ability to prioritize and manage multiple tasks.
  • Ability to be resourceful in researching issues, solving problems, and offering creative solutions.
  • Ability to manage multiple initiatives under pressure to meet deadlines.
  • Self-motivated and collaborative team-oriented player with a positive attitude.

Preferred:

  • Law clerk or paralegal designation
  • Experience with Firmex and Yardi and Ecore

KEY RESPONSIBILITIESAnnual General Meetings (AGM)

  • Acts as primary contact for all matters AGM related
  • Prepares AGM documents: notices, proxies, proxy collection/quorum calculation, co-ordinates with Operations, the CEO/President and the Development Office for the preparation of PowerPoint presentations for the AGMs, attends the AGMs and prepares minutes for each entity.

Board, Partners, Investors and Committee Meetings (excludes HR & Compensation Committee)

  • Coordinates and schedules Board, Investor, Partner and Committee meetings (excludes HR & Compensation Committee)
  • Communicates with Operations team members and Finance team members to develop meeting material delivery dates and oversees the consolidation, review and delivery of all such meeting materials
  • Ensures that meetings comply with governing and/or management agreements in terms of materials presented, those in attendance, notice, etc.
  • Prepares notices, proxies, agendas and minutes for all applicable meetings \.
  • Coordinates, as appropriate, on follow up items identified in meetings.
  • Collect attendance; payments for meeting attendance

Investor and GeneralCorrespondence and communication with investors, including securing initial documentation requirements, banking information where necessary, contact information, preparation and circulation of correspondence.

  • Working closely with the CEO and GC, streamline, prepare and disseminate distribution of investor statements (i.e. typically 25 scheduled investor letters per year), distributions, update letters and miscellaneous documents, including preparation of a schedule for regular correspondence to the different investor groups, preparing all correspondence to investors, sending out correspondence and dealing with follow ups from investors.
  • Distribute cheques and quarterly updates to investors as required. Co-ordinating with the Finance department to develop a timeline/deliverable dates for the payment of distributions and materials needed for updates to investors.
  • General intake of correspondence with investors, banks, accountants (both corporate and those of the investors), law firms, owners, etc.
  • Tax specific correspondence during tax season with investors and their accountants for details concerning investment, tax slips, historical data, etc.
  • Oversee meeting logistics for Investor meetings including location, technology needs and setup and other logistics.
  • Working closely with the GC, assist with investor cross-sales, investments and share/unit repurchases
  • Update Investor Information Database (changes of address, email address, etc.)

Accounting and Tax

  • Support the year end audit process of requested documents to auditors and to the controllers in terms of Board items, investor information, etc.
  • Working closely with the Finance department, liaise with auditors in their preparation and submission of business filings to CRA, etc.
  • Provides year-end distribution amounts to report on T5’s and total annual distribution amounts (specifying between types of distributions) for relay to auditors.
  • Circulates T5 statements to investors.

Administrative in Support of CEOEnsures the administrative requirements of the CEO are met including:

  • Oversee Board and Audit meeting logistics including location, technology needs, setup and other logistics;
  • Assist and prepare for the CEO, any communication to/for the Board Chair or members, including memoranda, agendas, minutes, arrangement of meeting venues, and supporting resource materials and requirements.
  • Composition of correspondence in reply to general company information inquiries made of the CEO, as well as responses as delegated;

Legal (if qualified)

  • Minute book record keeping including annual resolutions and annual returns
  • General support to General Counsel

General

  • Complies with the Occupational Health and Safety Act, Workplace Safety and Insurance Act, and Workplace Hazardous Material Information System. This includes recognizing health and safety hazards, reporting incidents, fulfilling responsibilities under the applicable legislation, as well as participating in in-services and fire drills.
  • Complies with all corporate policies and procedures.
  • Completes all required mandatory training/education.
  • Other related duties as assigned.
